2-of-3 Digital Asset Escrow Settlement

A staged settlement structure designed to prevent unilateral control of transaction funds.

Feed barley transactions arranged by Demetra Trading may be funded through a multisignature digital asset escrow linked to contractual milestones. FeedBarley.com does not operate escrow, hold funds or issue payment instructions.

What 2-of-3 Means

Three authorised key holders participate in escrow control. Any movement of funds from the escrow requires signatures from two of the three — no single participant can release or redirect value alone.

No party — including the seller — can unilaterally call for release of escrowed funds. Release follows milestone logic defined in the Sales and Purchase Agreement and the Portal transaction card, with multisignature approval when conditions are met or when a dispute resolution path authorises movement.

Illustrative Funding Stages

Transactions are funded in stages aligned to contractual milestones — not as a single undifferentiated transfer. Stage names, amounts, timing and release conditions are set per transaction.

Stage A — Contract activation

Initial funding may be required to activate the SPA and commence allocation preparation. Whether this stage applies and its amount are stated in the offer.

Stage B — Cargo readiness

A further stage may be linked to cargo allocation, terminal readiness or pre-loading inspection clearance as defined in the contract.

Stage C — Shipment and documents

Balance funding may be tied to loading completion, presentation of shipping documents or other SPA milestones before final release to the seller side.

The stages above are illustrative examples only. They are not a fixed universal scheme and do not imply specific percentages or amounts. Each commercial offer, SPA and Portal transaction card defines the applicable stages for that shipment.

Twelve-Step Transaction Flow

  1. Buyer submits purchase requirement through the commercial offer form.
  2. Demetra Trading completes preliminary compliance and commercial review.
  3. Commercial offer issued with payment stages and escrow structure summary.
  4. Buyer accepts offer; Trading Portal account and transaction workspace created.
  5. SPA and proforma invoice published for electronic signature.
  6. SPA executed with the named Demetra Trading contracting entity.
  7. Escrow wallet provisioned; Portal displays funding instructions for Stage A if applicable.
  8. Buyer funds active milestone using Portal instructions only.
  9. Cargo allocated, inspected and loaded; documents uploaded to Portal.
  10. Subsequent milestones funded per Portal schedule as conditions are met.
  11. 2-of-3 approvals processed for release when SPA milestones are satisfied.
  12. Transaction closed in Portal; remaining documentary and settlement steps completed per SPA.

Payment Instructions — Portal Only

Wallet addresses, supported networks, exact token amounts and milestone due dates are displayed exclusively inside the authenticated Demetra Trading Portal for the specific transaction. Do not send digital assets based on addresses received by email, messaging apps or from individuals claiming to represent Demetra Trading outside the Portal. FeedBarley.com never publishes payment addresses. If you receive unsolicited payment instructions, contact Demetra Trading through official channels before transferring funds.

Assets and Networks

Accepted digital assets and blockchain networks are specified in the commercial offer, SPA and Portal transaction card for each deal. Stablecoins such as USDT or USDC may be used when contractually agreed — always on the network explicitly stated in the Portal for that transaction. Sending tokens on an unsupported network may result in irrecoverable loss; the buyer must verify Portal instructions before each transfer.

What the Structure Is Designed to Address

For buyers

Staged funding links payment to defined milestones rather than a single upfront transfer. Multisignature control means the seller cannot alone access escrowed funds. Dispute and refund paths are governed by the SPA and escrow rules.

For sellers

Milestone-based releases provide a documented path to settlement when the buyer fulfils funding obligations and contractual conditions for each stage are met. The independent participant provides neutral oversight per agreed rules.

This structure is designed to reduce certain counterparty risks common in cross-border commodity trade. It does not eliminate all commercial, legal, market or operational risks, and it is not a substitute for independent legal and financial advice.

Disputes

If the parties disagree on quality, quantity, documents or milestone completion, funds remain subject to escrow rules until the dispute is resolved under the SPA or authorisation is obtained for release or refund. The independent escrow participant acts according to the escrow agreement — not as an advocate for either trading party. FeedBarley.com plays no role in dispute handling.

Blockchain Explorer vs Commercial Completion

A visible on-chain transaction confirms that a transfer to or from an escrow address occurred. It does not by itself mean that a commercial milestone is satisfied, that the SPA is fully performed, or that the buyer has accepted the cargo. Commercial completion is determined by the SPA, inspection certificates, shipping documents and Portal status — interpreted together, not from explorer data alone.

Frequently Asked Questions

Can the seller release escrow funds alone?

No. Escrow movement requires two of three authorised approvals. The seller cannot unilaterally release funds from the multisignature escrow.

Are funds sent directly to Demetra Trading's corporate account?

Buyer funds are sent to the escrow address shown in the Portal transaction card for the specific deal, not to informal wallets or accounts communicated outside the Portal. The escrow structure is separate from routine corporate banking.

Can I pay using a wallet address from a trading manager in chat?

No. Use only the funding instructions inside the authenticated Portal for your transaction. Addresses shared by messaging apps or third parties should be treated as invalid unless they match the Portal display.

Must I fund the entire contract value at once?

Typically no. Funding is staged per milestones in the offer, SPA and Portal card. The number of stages and amounts are transaction-specific.

What happens if a milestone is not met?

Release for that stage does not proceed until conditions are satisfied, amended by agreement, or resolved under the SPA dispute provisions. Funds remain under escrow rules in the interim.

Does a blockchain explorer confirmation mean the deal is complete?

Not necessarily. On-chain visibility confirms a transfer occurred; commercial completion depends on SPA milestones, documents and acceptance procedures.

Is this the same as a letter of credit?

No. This is a digital asset escrow arrangement governed by the SPA and escrow rules — structurally and legally different from documentary credits issued by banks.
